The High Price of Internal Inquiries

Posted in category Featured

legal chargeA a company that looks to be cooperative with the government and willing to take potential exposure means that it will be facing piling significant legal charges even before a case is filed or any determination of a violation. And when the government actually goes after a company for any reason, the legal fees will soar just to determine whether the company will be the target of a government inquiry
Following the case of Goldman Sachs’ securities fraud, Avon Products has been the target of a government inquiry ever since 2008 for possible violations of the Foreign Corrupt Practices Act. The inquiry began with Avon’s China operation and has now spread to a number of other countries where its beauty products are sold, a $10 billion annual business.
The legal fees and costs for conducting the internal investigation outside the counsel totaled $59 million in 2009 and $95 million in 2010. For the first quarter of 2011, the company spent $22.5 million for the lawyers, which actually was $900,000 less than the costs in the previous year.
The final costs for the internal investigation could easily mount to $250 million, which is a significant expenditure for any company to bear.

Though it only cost 20p to process a debit card payment and no more than 2% of the transaction value to process one on a credit card, a number of companies are charging much higher fees.
For example, estate agents Foxtons are charging people £25 on debit cards payment of a £5,000 deposit to rent a flat. Train booking site The Trainline.com adds £3.50 for paying by credit card. And Eurostar adds £4. Dial-a-Cab and Radio Taxis add 12.5% to the fare when the customers choose to make card payment, while Addison Lee charges an extra of £4.40. Even the low cost airline Ryanair are charging extra for card payment.
The consumer watchdog–Which? has filed a ‘super complaint’ over the scandal. As the unjustified charges are becoming more widespread, the Office of Fair Trading has been called to investigate.

dollar-rollHaving a great idea for a company is one thing but getting the fund to get the business moving forward and growing is quite another, especially when you are looking to sell an unconventional product or business model that your average investor might not consider as an obvious winner.
Getting institutional investors makes another option. However, generally speaking, institutional investors tend to be more demanding and less flexible, as they will have their own investors to please. So, as they will be impatient for results, and have low tolerance for any deviation from the original business plan.
Here are a few tips on how to get new fundings for you small business effectively:

1. Whatever mix of investors you are looking to bring in, make them diverse, with no one entity owning a majority of the business.
2. During the negotiation, you should always submit a term sheet and try to stick to it rather than letting an investor drive the process.
3. Don’t agree to milestones or performance hurdles as you never know what will happen in the future.
4. Make the deal simple and clear, preferably cash for stock without any bells and whistles. For isntance, don’t agree to crazy multiples or special clauses about taking money out.
5. Don’t guarantee board seats permanently unless you have no choice.
6. Most important, build your terms assuming the worst will happen along the way.

And remember that the best solution of all is to not take outside money.
